Specific services, project deliverables, timelines, pricing, service levels, and commercial terms are governed by individual quotations, proposals, Statements of Work (SOWs), Master Service Agreements (MSAs), Service Level Agreements (SLAs), or other written agreements entered into between Techimo and the customer.
Where such agreements exist, they take precedence over these Terms.
4. Pricing and Payment
Fees for our services are agreed upon before work begins unless otherwise stated in writing.
Invoices must be paid in accordance with the agreed payment terms.
Late payments may result in:
Suspension of services
Delayed project delivery
Suspension of hosting or managed services where permitted by contract
Recovery of outstanding amounts through legal means where necessary
Any taxes, duties, or government charges applicable to the services remain the responsibility of the customer unless otherwise agreed.
5. Intellectual Property
Unless otherwise agreed in writing:
Techimo retains ownership of its methodologies, software frameworks, templates, tools, documentation, and pre-existing intellectual property.
Custom work developed specifically for a client will transfer to the client only after full payment has been received, unless otherwise stated in the applicable agreement.
Nothing in these Terms transfers ownership of Techimo’s trademarks, branding, logos, or proprietary materials.
6. Confidentiality
Both parties agree to treat confidential information received during the course of a business relationship with appropriate care.
Confidential information shall not be disclosed to third parties except:
With prior written consent;
Where required by law;
Where disclosure is necessary for authorised subcontractors or service providers involved in delivering the agreed services.
This obligation continues after completion or termination of the engagement.
7. Acceptable Use
Customers using hosting, cloud infrastructure, managed services, or software platforms provided by Techimo agree not to use our services for activities that are unlawful or harmful, including but not limited to:
Distribution of malware or malicious software
Spam or unsolicited communications
Copyright infringement
Fraudulent activities
Unauthorised access to third-party systems
Activities that may compromise the security or availability of our infrastructure
We reserve the right to suspend services where such activity is identified.
8. Availability of Services
While we strive to provide reliable and uninterrupted services, no online service can be guaranteed to be available at all times.
Scheduled maintenance, software updates, infrastructure failures, internet outages, cyber incidents, or events beyond our reasonable control may occasionally affect service availability.
Where applicable, service availability commitments will be defined within individual Service Level Agreements (SLAs).
9. Customer Responsibilities
Customers are responsible for maintaining appropriate backups of their business-critical data unless backup or disaster recovery services are expressly included within the applicable Service Agreement, Statement of Work (SOW), Service Level Agreement (SLA), or other written agreement with Techimo.
Where Techimo provides managed hosting, managed IT services, cloud infrastructure management, or application support, the scope of backup, recovery, monitoring, and disaster recovery services shall be governed solely by the applicable service agreement.
Customers are responsible for maintaining the security of their own user accounts, passwords, and access credentials and for notifying Techimo promptly of any suspected unauthorised access.
10. Third-Party Services
Our services may integrate with or rely upon third-party software, cloud providers, payment processors, domain registrars, or other external services.
Techimo is not responsible for the availability, functionality, security, or policies of third-party services beyond our reasonable control.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
Techimo shall not be liable for indirect, incidental, consequential, special, or punitive damages.
We shall not be liable for loss of profits, business interruption, loss of data, loss of goodwill, or loss of business opportunities arising from the use of our services.
Our total liability relating to any claim shall not exceed the total amount paid by the customer for the specific services giving rise to that claim during the preceding twelve (12) months.
Nothing in these Terms excludes liability where such exclusion is prohibited by law.
12. Data Protection
Techimo is committed to protecting customer information and personal data.
Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms.
Customers remain responsible for ensuring that any data they provide to Techimo has been collected and shared in accordance with applicable laws.
13. Termination
Either party may terminate a service agreement in accordance with the applicable contract.
Techimo reserves the right to suspend or terminate access to services immediately where:
These Terms are materially breached;
Payment obligations are not fulfilled;
Unlawful or prohibited activities are detected;
Continued provision of services would expose Techimo or its customers to security or legal risks.
Termination does not remove any outstanding payment obligations.
14. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our services, legal requirements, or business operations.
Updated versions will be published on our website with a revised Effective Date.
Continued use of our website or services following publication constitutes acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra, India, unless otherwise agreed in writing between the parties.
